Terms of Service

Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the UploadBerry web application and related services (collectively, the “Service”) provided by UploadBerry (“we”, “us”, or “our”).

By creating an account or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Service Description

UploadBerry is a file-collection platform that allows registered users (“Account Holders”) to:

  • Connect Microsoft OneDrive, Dropbox, or a compatible WebDAV server to the Service.
  • Create shareable file request links that allow third parties (“Uploaders”) to upload files into the Account Holder's designated storage (directly for OneDrive and Dropbox where supported, or via secure transit for WebDAV as described under “Data Transit (WebDAV)”).
  • Configure upload settings such as allowed file types, file size limits, expiry dates, and notification emails.
  • Manage and archive file request links from a dashboard.

For OneDrive and Dropbox, uploads are routed via those providers' APIs. For WebDAV, uploads may briefly use intermediary staging as described in the “Data Transit (WebDAV)” section. UploadBerry does not use your files for purposes other than delivering them to your connected storage.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes to registered users where practicable.

Accounts & Registration

To use the Service as an Account Holder, you must register for an account using a valid email address and password. You agree to:

  • Provide accurate, complete, and current registration information.
  • Maintain the security of your password and accept responsibility for all activity that occurs under your account.
  • Notify us immediately at legal@uploadberry.com if you believe your account has been compromised.
  • Not create more than one account or transfer your account to another person without our written consent.

You must be at least 16 years old (or the minimum age of digital consent in your country) to create an account.

We reserve the right to suspend or terminate accounts that violate these Terms or that appear fraudulent.

Acceptable Use Policy

You agree to use the Service lawfully and in good faith. You must not:

🚫Illegal content

Upload, request, or facilitate the transfer of any content that violates applicable laws, including material protected by copyright without authorisation, child sexual abuse material (CSAM), or materials that constitute harassment or threats.

🦠Malware & exploits

Upload or distribute malware, viruses, trojan horses, spyware, ransomware, or any other malicious code designed to damage, interfere with, or gain unauthorised access to any system.

🤖Automated abuse

Scrape, crawl, or use automated tools to access the Service in a way that places excessive load on our infrastructure, bypasses rate limits, or circumvents security measures.

🎭Impersonation & fraud

Create file request links designed to deceive uploaders into believing they are submitting files to a legitimate entity when they are not (phishing).

⚙️Reverse engineering

Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Service except where expressly permitted by applicable law.

🔑Unauthorised access

Attempt to access accounts, data, or systems belonging to other users, probe for vulnerabilities without prior written authorisation, or interfere with the Service's security mechanisms.

We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities. Accounts found to be in violation may be suspended or terminated immediately without notice.

File Handling & Your Content

You retain ownership of all files uploaded through your file request links. By using the Service, you grant UploadBerry a limited, non-exclusive, worldwide licence to transmit and route those files solely for the purpose of delivering them to your designated cloud storage folder.

Storage: For OneDrive and Dropbox, file contents are not stored on UploadBerry's own servers beyond what is necessary to stream them to those APIs. For WebDAV, short-lived staging may apply as described under “Data Transit (WebDAV)”. Once delivered, files are governed by your storage provider's or server's policies.

Your responsibility as an Account Holder: You are responsible for:

  • Ensuring you have lawful authority to collect the files you request from Uploaders.
  • Obtaining any necessary consents from Uploaders regarding the transfer of their files to your storage.
  • Complying with applicable data protection laws (including GDPR) when you receive files containing personal data from third parties.
  • Ensuring your file request links are used only for lawful purposes and are not shared in a way that facilitates abuse.

File request links: You are responsible for managing the lifecycle of your links. You can deactivate or delete links at any time from your dashboard. Expired or inactive links will reject uploads automatically.

Data Transit (WebDAV)

When you connect storage via WebDAV (for example Nextcloud or another HTTPS WebDAV server), uploads from third parties may temporarily transit through infrastructure operated by UploadBerry: files are encrypted in transit (TLS), held in a private staging area only for the purpose of delivery to your server, and are automatically purged after successful delivery or within a maximum retention window (currently up to 24 hours), in addition to routine cleanup jobs.

This differs from our Microsoft OneDrive and Dropbox integrations, where supported uploads are sent directly to those providers' APIs without that intermediary staging step.

Cloud Storage Integration

Using the Service requires you to connect a Microsoft or Dropbox account (OAuth 2.0) and/or configure a WebDAV endpoint. By connecting your account or server, you:

  • Authorise UploadBerry to write files to the cloud storage folder you designate, using the permissions granted during the OAuth flow.
  • Acknowledge that your use of third-party storage providers is also governed by their respective terms and privacy policies (e.g. Microsoft Services Agreement or Dropbox Terms of Service).
  • Understand that UploadBerry is not affiliated with or endorsed by Microsoft Corporation or Dropbox, Inc.

You may revoke UploadBerry's access to your storage account at any time by disconnecting it within your dashboard settings, or directly through your storage provider's app permissions page.

Intellectual Property

The Service — including its design, code, branding, logos, and documentation — is owned by UploadBerry and protected by applicable intellectual property laws.

These Terms do not grant you any rights to use UploadBerry's trademarks, service marks, trade dress, or logos without our prior written consent.

You retain all intellectual property rights in the files and content you or your Uploaders provide. Nothing in these Terms transfers ownership of your content to us.

Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to our processing of personal data as described therein.

As an Account Holder who receives files from Uploaders, you may also act as a data controller in respect of any personal data contained within those files. In that capacity, you are independently responsible for complying with GDPR and other applicable data protection laws.

Free Service & Future Payments

The core Service is currently provided free of charge. We may introduce paid plans or premium features in the future. If we do, we will:

  • Provide at least 30 days' notice before any free features become paid.
  • Clearly disclose all pricing, billing cycles, and cancellation policies before you subscribe.
  • Never charge your payment method without explicit, affirmative consent.

We reserve the right to impose reasonable usage limits on free accounts to prevent abuse (e.g. maximum number of active links, upload size limits).

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

To the fullest extent permitted by applicable law, UploadBerry disclaims all warranties, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement.
  • That the Service will be uninterrupted, error-free, or secure.
  • That files uploaded through the Service will be successfully delivered to your storage at all times (delivery depends on the provider's API availability).
  • That any defects in the Service will be corrected within any particular timeframe.

Some jurisdictions do not allow the exclusion of implied warranties; in such cases the above exclusions apply to the maximum extent permitted by law.

Limitation of Liability

This section limits our financial liability to you. Please read it carefully.

To the fullest extent permitted by applicable law, UploadBerry and its officers, directors, employees, and agents shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of data, profits, revenue, goodwill, or business opportunities.
  • Damages resulting from your inability to access or use the Service, or from any interruption or cessation of the Service.
  • Damages resulting from unauthorised access to or alteration of your transmissions or data.

In no event shall UploadBerry's total liability to you for all claims arising from or relating to these Terms or your use of the Service exceed the greater of (a) €100 EUR or (b) the amounts you paid to UploadBerry in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of liability for consequential or incidental damages; in such cases our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

Indemnification

You agree to indemnify, defend, and hold harmless UploadBerry and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service.
  • Your violation of these Terms or any applicable law.
  • Your violation of any third party's rights, including intellectual property rights or privacy rights.
  • Files requested or received through your account that contain unlawful content.

We reserve the right to assume exclusive control of the defence of any matter for which you are required to indemnify us. You agree to cooperate with our defence of such claims.

Termination

By you: You may stop using the Service and delete your account at any time through your dashboard settings. Upon account deletion, your data will be permanently erased within 30 days in accordance with our Privacy Policy.

By us: We may suspend or terminate your access to the Service immediately, without notice, if we have reason to believe you have violated these Terms, if required to do so by law, or if your use poses a security risk to us or other users.

For less serious breaches, we will generally give you notice and a reasonable opportunity to remedy the breach before terminating your account.

Effect of termination: Upon termination, your right to use the Service ceases immediately. Active file request links will be deactivated. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page will always reflect the date of the most recent revision.

For material changes, we will notify registered users by email or by displaying a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

If you disagree with any changes, your sole remedy is to stop using the Service and delete your account before the new Terms take effect.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the European Union and, where applicable, the national laws of the member state in which UploadBerry is established, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be submitted to good-faith negotiation by contacting us at legal@uploadberry.com. If a dispute cannot be resolved informally within 60 days, it may be submitted to the competent courts of the jurisdiction in which UploadBerry is established.

If you are a consumer in the European Union, you also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and UploadBerry regarding the Service.
